1. Acceptance of terms
By accessing or using BudyPay websites or services, you agree to comply with these Terms of Service and all policies referenced in them. If you use BudyPay on behalf of a business or organisation, you represent that you are authorised to bind that entity to the applicable terms.
2. BudyPay services
BudyPay provides payment-related technology and merchant-facing tools that may include payment initiation, payout workflows, transaction-status services, dashboards, APIs, webhooks and related support. Availability of any feature, payment method, payout capability or settlement arrangement may depend on merchant onboarding, risk review, technical configuration and applicable partner requirements.
3. Merchant accounts and onboarding
You must provide accurate, current and complete information during onboarding and while using the services. You are responsible for keeping authorised-user details, business information and contact information up to date and for ensuring that only authorised persons access your merchant account.
4. Transactions and instructions
You are responsible for the accuracy of transaction instructions, order references, beneficiary information and other data submitted through BudyPay. Transaction states may include pending, successful, failed, reversed or other operational statuses depending on the relevant payment flow. Merchants should verify final transaction status before fulfilling goods, services or payout obligations.
Callbacks, webhooks and status APIs are operational tools and should be integrated in a way that is idempotent, secure and tolerant of retries or delayed events.
5. Credentials and security
You must protect merchant keys, secrets, passwords, API credentials and any other authentication material. Credentials must not be exposed in public repositories, client-side code or unauthorised systems. You must promptly notify BudyPay if you suspect unauthorised access or misuse.
6. Fees, limits and settlement terms
Fees, transaction limits, payout limits, settlement timing, reserves or other commercial arrangements, where applicable, are communicated separately through onboarding, pricing schedules or merchant agreements. The public website does not override those specific commercial terms.
7. Service availability and changes
We work to keep BudyPay services reliable, but uninterrupted availability is not guaranteed. Maintenance, service-provider outages, network events, security measures or other operational factors may temporarily affect access. We may modify or improve features as the platform evolves.
8. Restrictions and suspension
Access may be restricted, reviewed or suspended where reasonably necessary to protect users, transactions or the platform; investigate suspected fraud or misuse; comply with applicable obligations; address unpaid amounts; or enforce these terms and the Acceptable Use Policy.
9. Intellectual property
BudyPay websites, interfaces, branding, documentation and platform materials are owned by BudyPay or its licensors. Except where expressly permitted, you may not copy, reverse engineer, resell, modify or distribute protected platform materials.
10. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, BudyPay is not responsible for indirect, incidental or consequential losses arising from use of the website or services. Any service-specific liability limits, warranties or remedies set out in an applicable merchant agreement remain subject to that agreement.
11. Changes and termination
We may update these terms to reflect changes to services, operational practices or applicable requirements. Continued use after an updated effective date constitutes acceptance where permitted. Either party's rights to terminate merchant services are governed by the applicable agreement and these terms.
